Position OverviewSecurities Attorney for the Corporate, Securities, and M&A Practice Group.
Responsibilities- Provide legal counsel on securities law matters, including private securities offerings, fund work, and joint ventures.
- Draft, review, and negotiate securities‑related documents such as offering memoranda, subscription agreements, and compliance policies.
- Advise clients on regulatory compliance, corporate governance, and securities transactions.
- Conduct due diligence and manage transactional processes for securities offerings and capital markets transactions.
- Collaborate with other attorneys and legal professionals within the firm to deliver comprehensive legal solutions to clients.
- Stay updated on relevant securities laws, regulations, and industry trends to provide proactive legal advice.
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the Florida Bar.
- Minimum of 8 years of experience in securities law, focusing on private securities offerings and capital markets.
- Strong analytical, negotiation, and communication skills.
- Ability to work collaboratively in a team‑oriented environment.
- High level of professionalism and ethical standards.
- Experience with cross‑border securities transactions and international securities law.
