As an Assistant General Counsel for Technology and Managed Services you will provide legal advice and support in relation to managed services and other technology services and products, with a focus on complex, multi‑year agreements.

• Draft, update and negotiate client‑facing Technology & Managed Services Agreements.
• Advise on contractual strategy, risk and keep up to date with relevant legal developments.
• Collaboration with US GCO members and local counsel in EY member firms.
• Coordinate legal resources on managed services projects.
• Support coordination with cross‑functional teams (Data Privacy, Talent, Information Security, Tax).
• Advise on accuracy and sufficiency of contractual documentation to protect EY interests.
• Develop and enhance policies and guidance related to managed services and technology services.
• Manage workflow in a dynamic environment and remain responsive, reliable and communicative.
• Build relationships and team seamlessly with other GCO members to deliver service to clients.
• Develop and deliver training on Technology & Managed Services Agreements and best practice across the network.

• 8+ years of complex services and technology‑related transactional experience in a client‑facing capacity.
• Experience negotiating across client’s internal counsel, outside firms and procurement.
• Experience developing contracting templates, playbooks and standards.
• Understanding of data privacy, intellectual property law and technology use in agreements.
• Experience with cross‑border contracting, including employee matters and data transfer.
• Ability to assess and negotiate terms for current and new technologies (cloud, AI) and explain risks.
• Excellent communication, negotiation and interpersonal skills.
• High cultural and emotional intelligence, resilience and adaptability.
• Team orientation and independent work ability.
• Ability to articulate complex legal and contractual principles with commercial perspective.
• Responsiveness to high workload volumes and competing priorities.

• Managed services counsel experience in a technology or consulting organization.
• Bachelor’s degree (4‑year college) and Juris Doctor (law school).
• Lawyer in good standing in a State Bar, including continuing legal education compliance.
