Excel in the Financial Services Industry. ECLARO is looking for a Prime Services Negotiator VP for our client in NJ. ECLARO''s client is a top tier bank offering personal, business, corporate and investment banking solutions and wealth management across the world.

Responsibilities
  • As a Client''s Prime Services Negotiator VP, be responsible for drafting, negotiating, and executing capital markets contract documentation to support the Prime Services and Prime Derivative Services businesses.
  • Draft, negotiate, and execute prime services agreements including cash prime brokerage agreements, futures agreements, OTC clearing agreements, and ISDA master agreements;
    Intermediation agreements (e.g. FXPBA); repurchase agreements (GMRA / GMSLA); and stock lending agreements (e.g. MSLA); provide high-quality service to sophisticated clients.
  • Oversee and manage transactional processes, ensuring compliance with legal and regulatory requirements, and maintain accurate documentation for financial transactions.
  • Ensure Transaction Services and Documentation activities comply with applicable laws and regulations; help manage legal and reputational risks.
  • Coordinate with internal and external stakeholders (legal counsel, credit risk management, and other departments) to ensure timely and efficient transaction execution.
  • Creation, review, negotiation, and management of legal documents such as loan agreements, security documents, and other transactional documents for timely and efficient execution.
  • Provide transaction support including preparation of transaction summaries, due diligence, and support to other departments as needed.
  • Develop and implement transaction processes and procedures to ensure consistent execution of transactions.
  • Proactively identify, communicate, and provide legal advice on applicable laws and regulations; stay up to date with changes to laws, rules and regulations (LRRs); ensure proper allocation within policies and controls.
  • Lead or contribute to strategic planning, resource budgeting, policy development, and continuous process improvements as appropriate for the role.
  • If managing a team, define roles and responsibilities, plan for department needs, coach performance, and participate in budgeting and policy decisions; lead specialists to influence operations while balancing short- and long-term goals.
  • Demonstrate leadership behaviors to create an environment for colleagues to thrive and deliver high standards; if individual contributor, provide technical direction and mentorship.
  • Advise key stakeholders including functional leadership teams and senior management on functional and cross-functional impact; manage and mitigate risks in support of governance.
  • Collaborate with other areas to stay aligned with business activity and strategy; develop solutions through analytical thinking and problem solving.
  • Build and maintain trusted relationships with internal and external stakeholders to achieve business objectives using influencing and negotiation skills.
Required Skills
  • Experience with capital markets contract documentation, including drafting, negotiating, and executing related agreements.
  • Experience working with prime services, prime derivatives services, and related financing businesses.
  • Extensive legal analysis and written/oral communication skills.
  • Ability to advise senior stakeholders on risk, controls, and legal requirements.
  • Proven capability to manage complex negotiations and execute documentation under tight timelines.
