Compliance and Legal Manager – Houston, TX

Position Summary

The Compliance and Legal Manager will serve as the subject‑matter expert responsible for ensuring GPD’s adherence to all aspects of U.S. government contracting regulations, primarily the Federal Acquisition Regulation (FAR) and its supplements such as the Defense Federal Acquisition Regulation Supplement (DFARS). The role blends legal contract review, financial analysis, policy development, and internal training to mitigate risk and maintain ethical business operations.

Key Responsibilities and Duties
  • Lead, manage, and develop GPD’s Compliance Program.
  • Provide regulatory expertise and guidance on FAR, DFARS, Cost Accounting Standards (CAS), 2 CFR Part 200, DCAA guidelines, and other federal contract regulations.
  • Develop, implement, and maintain comprehensive compliance policies, internal controls, and procedures in alignment with evolving federal requirements.
  • Coordinate and manage internal and external audits (e.g., DCAA/DCMA, annual FAR compliance audits) and lead investigations into potential non‑compliance, including corrective action plans.
  • Identify, assess, and mitigate financial, legal, and commercial risks associated with government contracts and advise senior leadership.
  • Deliver training programs to cross‑functional teams to ensure awareness of compliance requirements.
  • Prepare and submit required reports to regulatory agencies and senior management, ensuring audit‑ready documentation.
  • Collaborate with finance and accounting to ensure cost accounting compliance, including incurred‑cost submissions and overhead rate negotiations.
  • Serve as the primary subject‑matter expert on evolving federal cybersecurity requirements, liaising with IT to develop policies, identify breaches, and enforce protocols.
  • Continuously educate yourself on current and emerging federal regulations, attending seminars and webinars.
Legal Support – Contracts
  • Oversee the review, negotiation, and administration of contracts, subcontracts, and agreements from proposal through closeout, ensuring flow‑downs and contract terms are met.
  • Manage SAM registration, certifications, attestations, and government‑specific forms.
  • Negotiate and develop Joint Venture and Teaming Agreements, whether GPD is prime or subcontractor.
Subcontractor Program Management
  • Develop a database and tracking system for subcontractors and teaming partners, including a rating system for future company use.
  • Manage subcontractor and partner contract compliance and assist with PO or WA execution, reviewing COIs to ensure prime obligations.
  • Support the Small Business Enterprise (SBE) and Disadvantage Program, vetting subcontractors and diversifying the program.
  • Ensure joint venture and teaming agreements comply with government requirements, submitting required forms and documentation.

Skills and Qualifications
  • Bachelor’s degree in Business Administration, Legal Studies or related field required; JD or MBA preferred.
  • 5–8 years of experience in government contracting, compliance, and auditing.
  • Proficiency in drafting, reviewing, and negotiating government contracts and agreements.
  • Experience with contract flow‑downs, subcontractor management, and internal controls.
  • High-level knowledge of FAR, DFARS, CMMC, CAS, and other federal regulations.
  • Experience with SAM.gov, SPRS, PIEE.
  • Strong analytical, problem‑solving, and critical thinking skills with excellent written and oral communication.
  • Ability to identify and communicate operational improvements for compliance.
  • Experience documenting policies, procedures, and control narratives.
  • Demonstrated ability to develop and deliver compliance training.
  • Ability to coordinate with legal, HR, accounting, IT, business development, and operations.
