We are looking for a skilled and motivated Contracts Specialist to join our Legal team. Reporting to PROS Associate General Counsel – Commercial, this is an exciting opportunity to work with a results driven, commercially focused Legal team supporting a NYSE-listed enterprise software company. As a Contracts Specialist, you will play a key role in managing and overseeing customer contracts, ensuring that they align with our company’s standards.

You will be responsible for reviewing and negotiating a variety of customer agreements, including our standard Master Subscription Agreement, Data Processing Agreements, RFPs, Purchase Orders, Statements of Work, and Non-Disclosure Agreements. You will collaborate closely with cross-functional teams, including sales, customer success, professional services, deal desk, and sales enablement, to support the contract lifecycle and ensure compliance with company policies and industry regulations.

A Day in the Life of a Contracts Specialist –

About the role:

Manage Customer Contracts:

• Facilitate all aspects of the contracting process, including contract generation, negotiation, managing non-standard term approval and signature.
• Partner closely with cross-functional teams during contract review acting as a key contact for the legal department by providing guidance on commonly requested edits and non-standard terms.
• Negotiate a variety of customer facing agreements to ensure that terms are consistent with overall business objectives, and company policies and playbooks.

Develop and Maintain Contract Templates:

• Create and update standardized contract templates, ensuring they meet legal requirements and support business needs.
• Develop and provide training to customer-facing teams on PROS contracting processes, templates and best practice.

Support and

Collaboration:

• Provide day-to-day support for contract administration efforts.
• Coordinate internal client requests to interpret contractual rights and obligations in consultation with PROS attorneys.

Contract Administration and Process Improvement:

• Maintain and improve contract administration processes, including managing contract tools, tracking progress, and generating reports.
• Identify opportunities to enhance contract management processes, implementing changes that improve efficiency and compliance.

Required Qualifications –

About you:

• 5+ years of post-qualification experience in a contract management or supplier management role, including negotiating customer facing commercial contracts in a legal or procurement department for a multinational corporation, a global law firm, or similar transactional experience.
• Positive attitude and ability to work in a fast-paced, high-output, team-oriented environment.
• Experience with contract management systems.
• Familiarity with best practice in legal operations and the latest developments in legal technology a plus.
• Highly proficient in Microsoft Office applications (Word, Excel, and PowerPoint), and comfortable learning and working with various software applications.
• Professional demeanor, detail oriented, with strong communication (verbal and written) skills.
