The Transaction Management Officer is a non‑attorney role, responsible for representing Citi’s Markets Commodities Legal Team, a part of the Citi Markets Legal Function, in providing Transaction Management advice and support to Citi’s Markets Global Commodities (“Commodities”) business and functions. The Transaction Management area is responsible for supporting the negotiation, transaction processes, documentation, and execution of Commodities business transactions (e.g., establishing a trading or banking relationship, entering into transactions or services with Citi, and documenting transactions between the parties).

This role requires a pragmatic, proactive professional with a thorough understanding of the business covered by the Commodities team and its products and services. This role also requires a thorough understanding of the contractual terms and legal implications of Citi’s commodities trading documentation.

Excellent communication and diplomacy skills are required as this role also provides direction to the Commodities business in discussions on the various contractual provisions, including on the risks of modifying or amending such terms and provisions.

Responsibilities
  • Reviews, drafts, and negotiates contracts and required documentation (including the ISDA, NAESB, EEI, LEAP, and bespoke commodity agreements) for the Commodities business in North America, including financial and physical energy (including crude and refined products, natural gas, natural gas liquids, and power), metals, and agricultural products.
  • Conducts business negotiations of medium complexity in a timely, thorough, and efficient manner.
  • Engages with the firm’s external counter parties and their internal/external counsel as well as Citi’s first line, legal, second line and other internal constituents during negotiations.
  • Integrates subject matter expertise to reply to queries from Citi businesses and clients regarding the contractual documentation and escalates to senior attorneys as required.
  • Engages with unresponsive counter parties, maintaining detailed records of the negotiations.
  • Stays abreast of new and changing regulatory and legal issues and industry initiatives and ensures compliance with regulatory requirements.
  • Supports the development and implementation of projects relating to implementation of regulation, process improvements or development of new products and services.
  • Advises the Risk function and business partners on risks and associated documentation requirements based on product and relevant jurisdiction(s).
  • Appropriately assesses risk when business decisions are made, demonstrating particular consideration for the firm’s reputation and safeguarding Citi, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to Policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency.
Qualifications
  • 5-8 years of relevant commodity industry and/or commodity‑focused derivatives industry experience.
  • Commodity trading contractual and documentation negotiation experience in a large institutional setting.
  • Proven record of completing complex documentation within very tight time deadlines.
  • Ability to manage complex documentation with organization and detail.
  • Must possess excellent interpersonal and project management skills, as well as the ability to interact and communicate effectively with Senior management.
  • Proficient in Microsoft Office:
    Word, PowerPoint, Excel, Outlook.
  • In‑depth knowledge of legal customs and practices.
  • Knowledge and understanding of the commodity industry and/or commodity‑focused derivatives industry.
Education
  • Bachelor’s/University degree;
    Master’s degree preferred.
