Role Overview :
We are looking for a Company Secretary with strong experience in handling end-to-end secretarial compliances of unlisted group companies/subsidiaries. The role will involve independently managing secretarial matters for approximately 20–25 Physics Wallah Group companies, including foreign subsidiaries.
Key Responsibilities:
- End-to-end secretarial compliances under the Companies Act, ODI, FEMA
- Handling Board/Shareholder meetings, agenda, notices, resolutions, minutes and statutory registers.
- Complete MCA/ROC filings and maintenance of statutory records.
- Handling FEMA/RBI compliances and foreign subsidiary-related matters.
- Compliance relating to material subsidiaries and group companies from SEBI LODR perspective, including RPTs.
- Handling director remuneration, loans to directors, inter-company loans, guarantees and investments.
- Drafting/reviewing loan agreements and other corporate/secretarial documents.
- Handling private placements, allotments, dematerialisation of shares, ISIN and depository-related compliances.
- Coordinating and handling Secretarial Audits and closure of audit observations.
- Liaising with Finance, Tax, Legal, Treasury and other internal teams, as well as CS firms, consultants, auditors, RTA, NSDL/CDSL, banks and other external stakeholders.
- Maintaining compliance trackers and ensuring timely completion of all statutory and corporate compliances.
Desired Profile:
- Qualified Company Secretary with 3-5 years of post qualification experience (excluding internship)
- Strong hands-on experience in unlisted companies/group companies/subsidiaries.
- Experience of independently handling multiple entities, preferably 15–20+ companies.
- Good working knowledge of Companies Act, FEMA and SEBI LODR.
- Strong drafting, coordination and stakeholder management skills.
- Candidate should be hands-on, proactive and capable of independently managing end-to-end compliances.
