Manager, Mergers and Acquisitions (M&A) Tax
Join Baker Tilly US as a Manager in the M&A Tax practice. In this role you will develop and implement transaction advisory services for clients and help manage complex financial and tax matters.
OverviewBaker Tilly is a leading advisory, tax and assurance firm offering coast‑to‑coast and global services across the U.S. and major financial centers. The firm operates under the AICPA Code of Professional Conduct and provides both CPA‑licensed attest services and tax/business advisory services through its affiliate structure.
Responsibilities- Interact directly with Partners on client and engagement management.
- Model financial transactions for valuation, structuring, and negotiation.
- Prepare detailed memoranda and presentations on client companies and industries.
- Review and analyze the tax aspects of acquisition and merger agreements and draft tax opinions and memoranda.
- Identify and analyze tax risks and opportunities, advising on alternative tax strategies for acquisition, disposition, and restructuring.
- Review tax computations in financial models and assist clients in analysis of tax data for transactions.
- Gather data, review documents, and prepare reports.
- Research and perform financial analysis of target companies.
- Conduct due diligence for buy‑side and sell‑side transactions.
- Structure transactions for tax and accounting issues.
- Provide negotiation support and communicate with business owners to ensure exceptional client service.
- Participate in marketing and recruiting activities of the firm.
- Bachelor’s degree in finance, accounting, or related field (or graduate degree with 4 years of relevant work experience).
- 5+ years of experience at a mid‑to‑large‑size professional services firm.
- Certified Public Accountant (CPA) or JD/LLM required.
- Experience in tax due diligence, deal structuring, and post‑acquisition planning; or inbound/outbound transaction consulting with international tax research, planning, and compliance.
- Strong analytical, problem‑solving, organizational, interpersonal, project‑management, and communication skills; advanced Microsoft Suite proficiency.
- Excellent written communication skills.
- Commitment to client service, continuous learning, ethical conduct, and timely completion of duties.
The compensation range for this role is $130,000–$215,000, influenced by skills, experience, qualifications, and geographic location.
