Job Summary

The Regulatory Counsel contributes as a member of the fast-paced and fully integrated Vistra Regulatory & Compliance team for wholesale trading and commercial businesses. Working in cross-functional teams, including Vistra legal, compliance, commercial, risk management, development, and regulatory affairs, the Counsel provides legal and compliance guidance to business units. The role researches and provides analysis necessary to design, implement, and maintain compliance controls, leads discovery efforts and case management in responding to regulator inquiries, and advocates the interests of the business units before federal and state regulators such as FERC, CFTC, PUCT, and the RTO/ISOs while advising on regulatory requirements and risks for new project development.

Job Description

As a member of the Vistra Regulatory & Compliance team, the Regulatory Counsel will partner with business units, internal stakeholders, and external counsel to ensure compliance with applicable regulations and to proactively identify and mitigate regulatory risks.

Key Accountabilities
  • Apply policy and regulatory expertise to anticipate and resolve issues in partnership with internal business clients.
  • Build strong working relationships with and effectively manage outside counsel.
  • Defend the company and advocate the company’s interests in regulatory and enforcement actions.
  • Provide advice and counsel on interconnection agreements, commercial agreements, and related issues supporting new resource development opportunities across the Vistra fleet.
  • Provide compliance coverage under Federal Energy Regulatory Commission, Commodities Future Trading Commission, Public Utility Commission of Texas, and Regional Transmission Organization rules for Vistra commercial business units, including designing, implementing, and maintaining compliance controls consistent with those rules.
  • Provide legal research and analysis necessary to support commercial business units’ compliance in wholesale electricity and natural gas markets.
  • Make formal and informal contact with regulators, RTO staff, market monitor staff, and other market participants to gain better understanding of relevant rules and the overall regulatory environment.
  • Actively monitor regulations, rules, and laws that affect the legal requirements and risk exposure of Vistra.
  • Facilitate agreement across a wide range of disparate internal stakeholders.
Education, Experience & Skill Requirements
  • J.D. required; must be licensed to practice law, preferably in Texas.
  • Minimum 3 years of practice in energy regulatory law and/or policy or regulatory/administrative litigation practice.
  • Strong analytical skills, judgment, energy enthusiasm, and interpersonal skills.
  • Excellent verbal and written communication skills.
  • Skilled in use of Microsoft Office programs and ability to learn and use additional computer applications as needed.
Key Metrics
  • Work closely with the business units to maintain compliance with relevant rules, keep business units and other functional teams abreast of any changes to the regulatory and compliance environment, and develop responses to regulator and market monitor inquiries.
  • Coordinate and lead the preparation, submission, and management of filings, registrations, reports, responses to investigations, and responses to requests for information, including discovery requests and legal/data preservation requirements.
