We’re looking for a Senior Legal Counsel – Corporate to play a pivotal role within our UK&I Legal Team. As a trusted adviser at the heart of Sky’s corporate operations, you will partner with Finance, Tax, Compliance, and Company Secretariat to provide expert legal guidance across a broad spectrum of corporate and corporate finance matters, while also collaborating closely with Comcast’s Corporate Legal team on Sky’s M&A activity.
WhatYou’ll Do
- Support the Legal team on high‑profile, strategically significant deals and projects, running and coordinating large matters and managing smaller matters independently.
- Advise Sky group management on corporate matters, including directors’ duties; restructurings, solvency, dormancy and liquidation of entities; corporate components of commercial transactions.
- Provide guidance on corporate finance matters such as intragroup and external debt management, recapitalisations, dividend payments.
- Support joint ventures on strategic questions around divestment/exit/renewal and interact with commercial deals forming part of JV structures.
- Assist with other investments (BAU matters, board and shareholder meetings, corporate resolutions, investor consents, director/officer appointments, letters of support).
- Act as the point person for new acquisitions and other M&A activity, working closely with Comcast Corporate Legal in London and Philadelphia.
- Instruct and manage external corporate legal support.
- English‑qualified solicitor with a minimum of 4+ years PQE (or equivalent).
- Strong corporate background with experience in English corporate law from private practice or in‑house across a range of corporate transactions (share and asset acquisitions, disposals, JVs).
- Excellent attention to detail, negotiation, drafting and analytical skills.
- Proactive, initiative‑driven with a willingness to support a variety of projects.
- Strong organisational skills, able to adapt quickly in a fast‑paced environment with competing priorities.
- Strategic, creative and commercial thinking; ability to advise stakeholders on legal and commercial risks.
- Strong communication skills and a proven track record in distilling complex legal issues into concise, stakeholder‑friendly summaries.
- Excellent interpersonal skills, positive outlook and the ability to build trust and rapport across the Sky Group.
- Experience in instructing and managing external legal counsel.
- Prior in‑house experience or a secondment at a corporate with a developed legal function is a plus.
