The OpportunityAs Counsel for Technology and Managed Services, you will provide legal advice and support for managed services, outsourcing, software‑as‑a‑service, and other technology agreements. You will work closely with the General Counsel’s Office (GCO) across the United States and internationally, advising on contractual strategy, risk management, and compliance.
YourKey Responsibilities
- Draft, update, and negotiate client‑facing Technology & Managed Services Agreements, including outsourcing, systems implementation, application development & maintenance, software licenses, SaaS, AI, big data, analytics, and cloud computing.
- Advise on key legal risks associated with the technology underlying Managed Services Agreements.
- Collaborate with US GCO members and local counsel in other EY member firms.
- Coordinate legal resources on managed services projects.
- Support coordination with cross‑functional teams (Data Privacy, Talent, Information Security, Tax) as appropriate.
- Ensure contractual documentation protects EY interests and complies with policies.
- Develop and enhance policies and guidance relevant to managed services and technology offerings.
- Manage workflow in a dynamic environment, maintaining responsiveness, reliability, communication, and accountability to leadership.
- Build relationships and collaborate with GCO and Legal Practice Groups to deliver exceptional client service.
- Develop and deliver training on Technology & Managed Services Agreements and best practice.
- 4+ years of complex services and technology‑related transactional experience in a client‑facing role, including drafting and negotiating Technology & Managed Services Agreements.
- Experience developing contracting templates, playbooks, and standards.
- Knowledge of data privacy, intellectual property law, and technology provision in the context of these agreements.
- Cross‑border contracting experience and familiarity with employee matters and data transfer laws.
- Ability to assess and negotiate terms for current and emerging technologies (cloud, AI) and explain related legal and business risks.
- Excellent oral and written communication skills.
- Strong negotiation and interpersonal skills.
- Cultural and emotional intelligence, resilience, and adaptability.
- Independent work ability and effective teamwork across functions and locations.
- Accurate articulation of complex legal and contractual principles, balancing risk from both legal and commercial perspectives.
- Highly responsive to high workload volumes and competing priorities.
- Solution orientation with a focus on exceptional client service.
- Managed services counsel experience in a technology or consulting organization, leading negotiations.
- Bachelor’s degree from an accredited 4‑year college.
- Juris Doctor from an accredited law school.
- Membership in a State Bar as an attorney qualified to practice law.
- Good standing with the applicable State Bar, including current continuing legal education requirements.
