Reporting to the General Counsel, the Corporate Counsel will handle a broad range of corporate and commercial matters.

Key Responsibilities:

• Draft, review, and negotiate commercial contracts, NDAs, and vendor agreements.
• Advise internal clients on corporate governance, risk management, and regulatory issues.
• Support M&A, joint-venture, and financing activities.
• Coordinate with outside counsel on litigation, IP, and employment matters.
• Contribute to policy development, compliance training, and process improvement.

• J.D. and admission to at least one U.S. state bar (preferably NY or CT).
• 4-8 years of experience in corporate or commercial practice at a law firm or in-house.
• Strong contract-drafting and negotiation skills.
• Business-minded and comfortable communicating with executives and non-lawyers.
