Senior Governance Officer – Internal Corporate Governance

Responsibilities

• Provision of end‑to‑end company secretarial and internal corporate governance support to Subsidiary Boards and committees
• Board and committee meeting administration, including agenda planning, forward schedules and annual calendars
• Governance oversight of statutory records, entity registers and statutory filings
• Development, periodic review and implementation of board and committee Terms of Reference
• Governance ownership of director appointments and cessations
• Delivery of the quarterly corporate governance compliance programme for allocated entities
• Operate within the ICG Target Operating Model, retaining governance ownership
• Act as a primary governance contact for Subsidiary Chairs, Directors and Committee Chairs

• ICSA / CGI qualified or equivalent legal or corporate governance qualification
• Significant experience (typically 5+ years) in company secretarial or corporate governance roles within financial services or regulated environments
• Strong technical knowledge of corporate governance, company secretarial practice and subsidiary board operations
• Demonstrated experience supporting Boards and Committees
• Experience working within a service or operating model environment is desirable

Demonstrates expertise in corporate governance and company secretarial practices, with a strong focus on supporting Boards and Committees in regulated environments. Proven ability to manage governance oversight, statutory records, and compliance programs effectively.
