The UHS Corporate Development Department is hiring a Director - Corporate Development to oversee strategic engagement processes in both Acute and Behavioral Health Divisions from initiation to closing, including deal evaluation, approval, negotiations, due diligence and closing. These projects may include: de novo, acquisitions, divestitures, partnerships and investments, covering various service lines, including inpatient, ambulatory, physician, health plan and telehealth.
Key Responsibilities include:- Manage necessary financial, operational and strategic information to model, analyze and value a potential transaction using a variety of structures
- Request, review and evaluate financial statement and operational statement information, including payor mix, managed care rates, reimbursement risks and upside, volumes and costs
- Normalize financial information. Identify and quantify synergies and incremental costs. Develop forecasts with the collaboration of the operating teams
- Prepare PowerPoint decks for deal presentation and review, draft executive summaries and participate in presentation to senior management
- Organize and conduct financial due diligence review of the target. Prepare PowerPoint deck and other memoranda, as appropriate to assist in evaluating the merits of a transaction and valuation
- Draft, review and participate in the RFP process or LOI. Actively support contract negotiations for deals proceeding to due diligence and definitive agreements. Work closely with legal counsel and finance to manage the closing checklist and complete the transaction
- Work with financial intermediaries (bankers, brokers and others) to organize the smooth flow of confidentiality agreements, RFP and related responses, proposals and other communication
- Work closely with each UHS operating division to ensure a smooth transition post‑closing of the acquired business into UHS
Master's degree preferred, Bachelor's degree required with 10+ years' experience in healthcare M&A oriented finance or financial analysis in the investment banking/private equity/health‑care consulting/valuation fields, or in a corporate development environment.
- BA/BS in Accounting, Finance, Business Administration or related discipline. MBA strongly preferred
- Working knowledge of generally accepted accounting principles, as well as financial statement and basic valuation concepts and practices
- Working knowledge and experience in transaction negotiation provisions and dynamics. Demonstrated written and verbal communication skills, numerical facility and analytical abilities
- Above average to excellent skills with Microsoft office package and equipment particularly Excel, Word and PowerPoint (critical), Access, Outlook or equivalent email applications
- Domestic travel up to 15%
