This position will report to Senior Counsel, Mergers & Acquisitions and will work closely with Valvoline’s Acquisitions team, including the other attorneys and professionals focused on the company’s strategic transactions. As Acquisitions Counsel, you will assist with acquisitions, divestitures, joint ventures and other transactions, and engage collaboratively to enable the business as a subject matter expert providing advice and legal counsel.
In addition to the substantive parameters listed below, the ideal candidate will be a detail-oriented, collaborative team player with strong initiative, a keen business sense, a driven work ethic, and a high personal standard of accountability.
What You’ll Be Doing:- Working with third parties to negotiate the terms of acquisitions
- Drafting and reviewing letters of intent, confidentiality agreements, asset purchase agreements, disclosure schedules, and related agreements
- Coordinating transaction closings
- Assess and advise on risk and alignment with the company’s long-term business objectives
- Facilitating processes and procedures to optimize productivity and keep the team organized
- Supporting the integration of acquired businesses
- Collaborating with subject matter experts and other departments
- Monitor legal developments and emerging risks in M&A and antitrust law to proactively advise internal stakeholders
- Assist with other special projects as necessary
- US state bar active member in good standing
- Law degree from an accredited university
- Minimum 3 years of experience practicing law, with at least 3 years in a national or regional law firm
- Demonstrated expertise in the M&A process from transaction structuring to post-closing issues
- Familiarity with commercial leases and commercial/corporate law
- Excellent drafting, negotiation, analytical and communication skills
- Ability to thrive in a high energy, fast-paced environment
- Proactive and resourceful in seeking out and finding accurate and relevant information
- Organized and detail-oriented while juggling competing priorities
- Solution-oriented mentality and the ability to make risk-based judgements
