Transaction Manager – Project & Infrastructure Finance

Fidostra is an independent provider of loan agency, security trustee and transaction administration services for institutional financing and capital markets transactions.
We support clients and transaction parties through structured coordination, accurate information flows and disciplined execution throughout the lifecycle of a mandate.

ROLE OVERVIEW

Fidostra is seeking a Transaction Manager to contribute to the execution and ongoing administration of complex project and infrastructure finance loans across agency, security trustee and transaction administration roles.

KEY RESPONSIBILITIES
  • Coordinate the onboarding, establishment and ongoing administration of project and infrastructure finance mandates.
  • Review facility agreements, common terms agreements, intercreditor agreements, account agreements, security documents and related transaction documentation.
  • Prepare transaction summaries, operational procedures, responsibility matrices, closing checklists and lifecycle calendars.
  • Coordinate lenders, sponsors, project companies, legal counsel, technical advisers, account banks and other transaction parties throughout the financing lifecycle.
  • Support financial close by monitoring conditions precedent, funding requirements, closing deliverables and outstanding documentation.
  • Administer facility mechanics, including utilisations, drawdowns, rollovers, rate settings, interest periods, repayments, prepayments, fees and other transaction events.
  • Coordinate the receipt and distribution of project reports, compliance certificates, technical adviser reports, construction updates and other required information.
  • Monitor contractual reporting dates, covenant-related deliverables and other administrative requirements without undertaking independent credit decision-making.
  • Administer amendment, waiver and consent processes, including the preparation and distribution of notices and the collection and recording of lender responses.
  • Maintain lender registers and process assignments, transfers and changes to lender participation.
  • Support the administration of intercreditor arrangements, instruction processes and priority mechanics in accordance with the transaction documents.
  • Maintain collateral and security records and coordinate perfection, filing, release and other security-related requirements with external counsel and relevant transaction parties.
  • Support the calculation and distribution of interest, fees and principal and coordinate documented payment and cash-flow mechanics with account banks and other relevant parties.
  • Administer controlled cash-flow structures and payment waterfalls in accordance with the finance documents and approved operational procedures.
  • Coordinate multi-jurisdictional requirements with local counsel and other service providers where required.
  • Support successor agency, refinancing, restructuring and transition processes where applicable.
  • Identify missing, inconsistent or potentially material information and escalate matters in accordance with internal procedures.
  • Maintain complete transaction records, document repositories, decision logs, review dates and audit trails.
  • Handle confidential and transaction-sensitive information in accordance with applicable data-protection and information-security requirements.
CANDIDATE PROFILE
  • Typically three or more years of relevant experience in project finance, infrastructure finance, loan agency, banking operations, corporate trust or transaction administration.
  • Experience gained within a bank, loan agency or corporate trust provider, infrastructure debt fund, institutional lender, asset manager, law firm or other relevant professional-services environment would be advantageous.
  • Good understanding of project and infrastructure finance documentation and transaction structures.
  • Familiarity with bank club facilities, syndicated project financings, infrastructure debt transactions, sponsor-backed financings, export credit agency-supported structures, PPPs or concession-based projects would be beneficial.
