The Secondaries team is part of the private equity group and consists of 3 partners, 1 counsel, 1 managing associate, and 5 associates, growing continually. It acts on the full range of secondaries transactions for buyers, sellers, and sponsors across a variety of LP‑ and GP‑led mandates.
The firm’s PE Group combines both funds lawyers and transactional lawyers, servicing clients from the formation of their fund vehicle to the restructuring, secondaries transactions, and the acquisition and sale of portfolio companies.
Main Responsibilities- Assisting Associates with drafting and reviewing routine transfer documentation, subscription agreements and other routine transaction documents
- Assisting with investor onboarding processes, including collating and reviewing investor documentation and coordinating with compliance teams
- Supporting due diligence processes, including reviewing funds documents and preparation of report, checklists timetables and data room administration
- Supporting the team in liaising with opposing counsel and GP counsels to facilitate efficient transaction progression and completion
- Maintaining transaction trackers for providing regular status updates to the clients
- At closings, preparing signing packs and co‑ordinating signing and completion
- Assisting with filing and transaction document management using the firm’s document management system
- Supporting Partners and Associates with updating of precedents, legal research, pitch documents and responses to tenders as requested
- Helping to maintain precedents and internal know‑how resources, ensuring the resources are properly organised and accessible
- Undertaking research and preparing notes on legal and market developments as required
- Candidates must have good academics and have passed the SQE or completed the LPC or BPTC (ideally a 2:1 and more than a pass for LPC or competent for the BPTC)
- Previous paralegal experience is essential, with experience in a Funds or Corporate setting being most desirable
- Strong project management skills with the ability to progress work streams independently
- Excellent drafting, presentation and communication skills, with attention to detail and accuracy
- Good time management and the ability to work to deadlines
