Finance or Corporate Associate (3–7 Years’ Experience)

Direct Counsel is representing an Am Law 100 firm seeking an experienced Finance or Corporate Associate to join its team in California. The ideal candidate will have 3–7 years of experience in finance transactions, with a strong background in lender and borrower representations and exposure to broadly syndicated credit facilities, acquisition financings, and private credit facilities. • Draft, review, and negotiate a wide range of finance documents, including credit agreements, debt commitment letters, and security agreements.
• Manage closing deliverables, including secretary’s certificates, resolutions, legal opinions, schedules, and exhibits.
• Advise on broadly syndicated and private credit transactions, as well as acquisition financings.
• Collaborate with partners and clients on complex financial and corporate transactions.
• Take on significant deal management and client‑facing responsibilities, working closely with both lenders and borrowers.
• Provide support and leadership within a team‑oriented environment while maintaining a proactive approach to problem‑solving.

• 3–7 years of relevant experience in finance or corporate transactional law.
• Substantial experience representing lenders and borrowers in syndicated and private credit facilities.
• Excellent drafting and analytical skills with meticulous attention to detail.
• Strong academic credentials and a demonstrated ability to handle significant transactional responsibility.
• Experience representing private equity sponsors and portfolio companies is preferred.
• Must be admitted to the California Bar.

The expected annual base salary range for this position is $260,000 — $390,000, depending on experience, location, and other job‑related factors.
