Our General Counsel’s Office (GCO) supports EY’s business by serving as trusted advisors to the EY community and providing the highest quality legal services to EY’s service lines and business enablement functions.
The opportunity: As Counsel for Technology and Managed Services, you will provide advice, counsel and legal support in respect of the provision of managed services and other technology services and products to EY clients, focusing on advising, drafting, updating and negotiating the legal terms and conditions of client‑facing complex, multi‑year managed services, outsourcing, systems implementation, application development and maintenance, software licenses and SaaS agreements, artificial intelligence, big data, analytics, cloud computing, and the Technology & Managed Services Agreements.
Key Responsibilities- Draft, update and negotiate client‑facing Technology & Managed Services Agreements, advising on contractual strategy and risk, and keeping up to date with relevant legal developments.
- Advise on key legal risks associated with the technology underpinning Managed Services Agreements.
- Collaborate closely with other members of the US GCO as well as local counsel in other EY member firms.
- Coordinate legal resources on managed services projects.
- Support coordination with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as necessary for Technology & Managed Services Agreements.
- Advise on the accuracy and sufficiency of contractual documentation to effectively protect EY interests.
- Understand existing EY policies and develop/enhance policies and guidance relevant to managed services and other technology services and products.
- Manage workflow in a highly dynamic environment and remain highly responsive, reliable, communicative and accountable to team leadership and other members of the GCO.
- Build relationships and team seamlessly with other members of GCO, within the Legal Practice Groups, to deliver exceptional service to clients of GCO.
- Develop and deliver training on Technology & Managed Services Agreements, knowledge sharing and best practice across the legal network and business.
- 4+ years of relevant complex services and technology‑related transactional experience in a client‑facing capacity, including drafting and negotiation of Technology & Managed Services Agreements.
- Experience developing contracting templates, playbooks and standards.
- Experience in data privacy, intellectual property law and the use and provision of technology in the context of Technology & Managed Services Agreements.
- Experience with cross‑border contracting (including employee matters such as auto‑transfer laws, local country agreements, and cross‑border data transfer).
- Ability to understand, assess and negotiate terms for current and new technologies (including cloud and AI) and explain the related legal and business risks in a practical manner.
- Excellent oral and written communication skills.
- Excellent negotiation and interpersonal skills.
- High degree of cultural and emotional intelligence, and demonstrated aptitude for resilience, flexibility and ability to adapt to changing circumstances.
- Ability to work independently and team effectively with colleagues in other functions and geographic locations.
- Ability to grasp, understand and accurately articulate and document complex legal and contractual principles, balancing risk from both a legal and commercial perspective.
- Highly responsive with ability to manage high workload volumes and competing priorities efficiently and effectively.
