The OpportunityYou will be a part of EY’s Technology and Managed Services legal group, working closely with other GCO groups in the United States and other jurisdictions. The role focuses on technology product and platform agreements, including client‑facing software licenses and SaaS agreements, AI, big data, analytics, cloud computing, and supporting various EY technology and product teams from ideation through go‑to‑market.
Key Responsibilities- Draft and negotiate client‑facing product and platform agreements, advising on contractual strategy and risk, and staying up to date with relevant legal developments.
- Collaborate closely with other U.S. GCO members and local counsel in other EY member firms.
- Collaborate with intellectual property counsel and procurement counsel on the development and commercialization of products and platforms.
- Coordinate with cross‑functional business and internal support teams (Data Privacy, Information Security, Independence, Quality, and Tax) as needed.
- Understand and help enhance EY policies and guidance relevant to technology products and platforms.
- Support internal product teams in developing new products and platforms.
- Maintain a working understanding of tools, products, and platforms to provide effective product counsel.
- Manage workflow in a dynamic environment, remaining responsive, reliable, communicative, and accountable to leadership.
- Provide practical legal advice to internal product teams and business stakeholders.
- Build relationships and collaborate seamlessly within GCO and Legal Practice Groups to deliver exceptional legal service.
- Develop and deliver training on product and platform agreements, knowledge sharing, and best practice across the legal network and business.
- Continuously learn, contribute, and innovate in a dynamic space.
- 7+ years of relevant technology‑related transactional experience in a client‑facing capacity, including drafting and negotiating product and platform agreements.
- Strong background supporting SaaS, software licenses, emerging technologies, and various go‑to‑market delivery models.
- Experience developing contracting templates, playbooks, and standards.
- Adept at leveraging legal and collaboration tools and technology to optimize teamwork.
- Experience with data privacy, data security, licensing, and intellectual property law.
Experience with cross‑border contracting (including local country agreements and cross‑border data transfer). - Ability to understand, assess, and negotiate terms for current and new technologies (cloud and AI) and explain related legal and business risks.
- Excellent communication, negotiation, and interpersonal skills.
- High degree of cultural and emotional intelligence, resilience, and adaptability.
- Ability to work independently and team effectively with colleagues in other functions and geographic locations.
- Strong legal writing ability and strategic risk assessment.
- Highly responsive with ability to manage high‑volume workloads and competing priorities.
- Solution‑oriented with a focus on exceptional client service.
- Experience in a product counsel role in a technology or consulting organization with leading negotiations.
- Bachelor’s degree from an accredited 4‑year college.
- Juris Doctor from an accredited law school.
- Membership in a State Bar and good standing, current on continuing legal education.
