The RoleAs the Senior Corporate Counsel, you'll be a pivotal force in delivering strategic and practical legal advice and support across Providence St. Joseph Health. Working under the guidance of the Department of Legal Affairs (DLA) Leadership, you will handle a wide range of transactional and contracting matters within the organization. Your expertise will be essential in drafting and negotiating transaction documents focused on complex arrangements, such as asset purchases, mergers, strategic affiliations, joint ventures, partnerships, financing, and credit deals, as well as internal reorganizations of service lines and operations.
Experience with entity formation, corporate finance, and transactions involving health care organizations, both for-profit and non-profit, will be advantageous. Additionally, you'll provide legal guidance and support for intricate business arrangements and associated commercial contracts.
- Offer valuable legal advice and strategic business consultation to executive management teams and other internal business partners.
- Draft, review, and negotiate transaction documents and contracts focusing on complex agreements, including mergers, acquisitions, corporate finance transactions, joint ventures, strategic alliances, and internal reorganizations.
- Draft and review legal documents, including but not limited to governing documents (e.g. articles and bylaws etc.) ensuring compliance with applicable statutes, regulations, and policies.
- Aid internal business teams with various legal and corporate projects and business arrangements.
- Work closely with internal stakeholders in finance, operations, and compliance to structure and execute transactions aligned with business objectives.
- Assist with and conduct legal due diligence in connection with corporate transactions.
- Identify, assess, and manage legal and business risks associated with contracts and transactions.
- Help develop and implement contracting policies and standard templates to streamline organizational processes.
- Collaborate within DLA to optimize the delivery of legal services, ensure consistent, effective legal advice, and manage legal resources.
- Draft, review, and negotiate a wide array of commercial contracts, including vendor, service, and partnership agreements.
- Function independently regarding highly complex contracts and transactions.
- Assume responsibility for administrative functions within DLA as assigned.
- Educational Background: Juris Doctor degree from an accredited law school.
- Licensure Requirement: Active admission and license to practice law in either California or Washington, or willingness to obtain such a license.
- Experience: At least 10 years of relevant experience (law firm experience is a plus) with a focus on transaction, commercial contracting, and healthcare-related matters preferred.
- Proficiency: Strong proficiency in drafting and negotiating agreements related to mergers and acquisitions, corporate finance transactions, joint ventures, strategic alliances, and internal reorganizations.
