We are recruiting on behalf of an established and growing accountancy and business advisory firm. This is a senior appointment within its tax team, offering the opportunity to lead a broad range of transactions, restructuring and strategic tax projects.
You will advise entrepreneurial businesses, privately owned groups, management teams, investors and private equity-backed organisations at important stages in their development. Assignments will include M&A tax support, private equity transactions, EMI share schemes, business restructures, corporate simplifications, refinancing projects, equity swaps and wider corporate tax advisory work.
The position offers significant autonomy, direct contact with Partners and senior client stakeholders, and the opportunity to help shape the continued growth of the firm’s corporate tax advisory offering.
The firm can be flexible on location, with Manchester and hybrid working and they also have other nearby regional offices.
Duties and responsibilitiesAs Corporate Tax Senior Manager – Advisory, you will lead complex projects from initial scoping through to implementation, coordinating clients, colleagues and external advisers throughout the process.
Your responsibilities will include:- Leading the tax aspects of mergers, acquisitions, disposals and other corporate transactions.
- Providing tax support on private equity investments, management buyouts, exits and changes in ownership.
- Undertaking and reviewing tax due diligence, identifying key risks, opportunities and commercial considerations.
- Advising on transaction structures and working closely with corporate finance, legal and funding advisers.
- Designing and implementing EMI schemes and other management or employee equity arrangements.
- Advising on business restructures, group reorganisations and corporate simplification projects.
- Supporting refinancing exercises, debt restructures and changes to group funding arrangements.
- Advising on share-for-share exchanges, equity swaps, demergers and other complex corporate transactions.
- Preparing and reviewing technical tax advice, reports, clearance applications and supporting documentation.
- Translating complex tax legislation into clear, practical and commercially relevant recommendations.
- Managing several advisory projects simultaneously, including scope, budgets, deadlines and overall delivery.
- Acting as a trusted adviser to business owners, finance teams, investors and senior stakeholders.
- Identifying additional advisory opportunities across the firm’s existing client base.
- Supporting Partners with proposals, pitches, networking and wider business development activity.
- Reviewing the work of Managers and junior colleagues, providing technical guidance and constructive feedback.
- Coaching and developing members of the corporate tax team.
- Keeping up to date with changes in UK tax legislation and assessing their impact on clients.
This is a senior position requiring strong UK corporate tax knowledge and substantial experience of delivering advisory assignments within an accountancy, tax or professional services firm.
You will ideally have:- CTA and/or ACA qualification, or an equivalent professional qualification.
- Significant corporate tax experience gained within practice.
- Experience operating at Senior Manager, or Manager-level experience with the ability to step up.
- A proven background in corporate tax advisory rather than solely compliance-focused work.
- Experience supporting mergers, acquisitions, disposals, reorganisations or private equity transactions.
- Strong technical knowledge of UK corporation tax and corporate restructuring legislation.
- Experience in areas such as EMI schemes, share transactions, refinancing, group reorganisations or corporate simplification.
- The ability to manage complex advisory projects involving multiple stakeholders and professional advisers.
- Strong report-writing, presentation and client communication skills.
- The confidence to lead meetings and advise business owners, investors and senior finance professionals.
