General FunctionThe Sr. Associate General Counsel is responsible for overseeing legal aspects of commercial client RFPs and agreements, ensuring contracts support business objectives while effectively mitigating risk. This role is the primary legal advisor to sales, account management, product, and executive teams on commercial negotiations.
Responsibilities- Partner with sales and account management on RFPs, new client agreements, and client renewals. Review and approve commercial contracts.
- Lead negotiations with customers, agencies, and partners.
- Ensure contracts reflect business terms and comply with legal and regulatory requirements, mitigating legal and operational risks.
- Advise stakeholders on contract interpretation, obligations, and risk exposure.
- Ensure compliance with company policies, industry standards, and relevant regulations.
- Serve as the primary legal partner for commercial sales and account management and internal stakeholders, including compliance, operations, and product development.
- Provide guidance to internal teams on contracting principles and legal processes.
- Provide clear counsel in a timely manner on regulatory compliance, insurance (including HMO and Preferred Provider Organization), HIPAA/state privacy, ERISA, MVC contracts, state third‑party administrator laws and regulations, and general healthcare matters.
- Identify opportunities to recommend action including new policies, procedures, and guidelines.
- Manage regulatory and administrative procedures, defending the company against claims/investigations by state Departments of Insurance or other applicable agencies.
- Assist with state licensing requirements for Eye Med and related entities.
- Support the Finance team with state insurance licensing matters.
- Assist applicable departments in client and/or regulatory agency audits.
- Additional responsibilities and special projects as needed.
- Juris Doctorate from an accredited law school and admitted in at least one state, with the ability to obtain corporate counsel status in Ohio.
- 12+ years of experience with a corporate law department, private law firm, or government agency.
- Strong expertise in drafting and negotiating complex health care agreements.
- Exceptional communication and stakeholder management skills.
- Ability to provide practical, business‑oriented legal advice.
- Experience working in a high‑growth environment.
- Experience in the healthcare industry.
- Experience handling insurance and/or regulatory matters.
- Familiarity with privacy and regulatory considerations.
- Strong multi‑tasking and organizational skills.
- Works independently with minimal supervision.
Employee pay is determined by multiple factors, including geography, experience, qualifications, skills and local minimum wage requirements.
