Responsibilities- Interact directly with Partners on client and engagement management matters.
- Model financial transactions for valuation, structuring, and negotiation.
- Prepare detailed memoranda and presentations describing key attributes of client companies and industries.
- Assist in reviewing and analyzing tax aspects of acquisition and merger agreements and drafting tax opinion letters and memoranda.
- Identify and analyze tax risks and opportunities, advising on alternative tax strategies for acquisition, disposition, and restructuring.
- Review, assess, and advise clients on tax computations reflected in financial models; assist with quantitative and qualitative tax data analysis.
- Gather data, review documents, and prepare reports.
- Conduct research and financial analysis of target companies.
- Perform due diligence for both buy‑side and sell‑side transactions.
- Design transaction structuring for tax and accounting issues.
- Provide negotiation support.
- Communicate with business owners to ensure exceptional client service.
- Participate in various marketing and recruiting activities.
- Bachelor’s degree in Finance, Accounting, or a related field required; or a graduate degree with 4+ years of related work experience.
- 8+ years of work experience in a mid‑to‑large professional services firm.
- Certified Public Accountant (CPA) or JD/LLM required.
- Experience in tax due diligence, deal structuring, post‑acquisition planning, and/or inbound/outbound transaction consulting, including international tax research, planning, and compliance.
- Strong analytical, problem‑solving, organizational, interpersonal, project management, and communication skills; advanced Microsoft Office proficiency.
- Strong written communication abilities.
- Exceptional client service orientation, commitment to continuous learning, ethical integrity, and a strong sense of urgency and quality.
The compensation range for this role is $190,000 to $330,000. Actual compensation is influenced by a variety of factors including but not limited to skills, experience, qualifications, and geographic location.
