Regulatory Compliance Specialist
Corporate Paralegal - Multinational Company
Base pay: $70,000.00/yr - $/yr
The Corporate Paralegal will play a key role in supporting the legal department's global entity management and corporate governance functions. This position requires strong organizational skills, attention to detail, and the ability to manage a high volume of corporate matters across multiple jurisdictions.
The ideal candidate will be proactive, collaborative, and comfortable working with internal and external stakeholders and outside counsel. Proficiency in Microsoft Office is required, and experience with the GEMS corporate management system is a plus, though not mandatory.
Key Responsibilities- Manage domestic legal entities, including formations, dissolutions, mergers, and other corporate transactions.
- Ensure all entities remain in good standing by preparing and maintaining timely and accurate corporate filings.
- Coordinate corporate and legal secretarial services for RPM International Inc. and its consolidated subsidiaries.
- Provide guidance to subsidiary officers on corporate governance, compliance obligations, and related matters.
- Determine and coordinate responses to inquiries from government agencies.
- Engage and oversee outside service providers, including reviewing and approving service quotes.
- Review legal drafts and provide comments to outside counsel as needed.
- Serve as project coordinator for legal and tax restructuring initiatives.
- Manage corporate secretarial components of financing transactions and post‑acquisition integration.
- Oversee officer and director updates and maintain comprehensive corporate records.
- Draft resolutions, minutes, and other governance documents for U.S. officer appointments and annual financial approvals.
- Administer the GEMS corporate management system and ensure accuracy and integrity of entity data.
Skills & Qualifications
- 5+ years of corporate paralegal experience.
- Strong substantive knowledge of corporate governance and entity management.
- High level of accuracy, organization, and attention to detail.
- Ability to manage multiple priorities in a fast‑paced, multinational environment.
- Strong communication skills and the ability to collaborate effectively with internal and external stakeholders.
- Proficiency in Microsoft Office; experience with GEMS is a plus.
- Ability to analyze legal documents and identify issues or required updates.
