Assistant Company Secretary – UK Corporate Governance Office
Based in Milton Keynes or London, you will design and implement senior‑management directives in regulatory and statutory compliance, ensuring governance best practice throughout the Santander UK group. Your responsibilities include running board‑level committees and subsidiary boards, managing a portfolio of legal entities, and overseeing compliance with the Subsidiary Governance Framework. You will advise on statutory compliance, contribute to the annual report and financial statements programme, and build strong relationships with senior management and board members.
Responsibilities- Run one board‑level committee and subsidiary boards, including preparation, minutes and action distribution.
- Take responsibility for your own portfolio of subsidiary legal entities.
- Implement and oversee compliance with the Subsidiary Governance Framework.
- Contribute to the annual report and financial statements programme.
- Provide specialist advice on statutory compliance and governance best practice, internal governance requirements and new legislative developments.
- Work closely with senior management and board members.
- Act as line manager to members of the Corporate Governance Office team, facilitating their development.
- Practical knowledge of corporate governance, the Companies Act 2006, the UK Corporate Governance Code, PRA/FCA requirements, listing rules and excellent stakeholder management and diplomacy skills.
- Experience running a board‑level committee.
- Experience in a busy corporate governance or secretariat function.
- Experience in a regulated environment, ideally financial services.
- Experience contributing to the annual report and financial statements programme.
- Membership of the Chartered Governance Institute (Affiliate, Associate or Fellow) or equivalent.
- English.
- Excellent attention to detail and written communication skills, including strong minute writing.
- Well‑developed organisational skills, ability to manage competing priorities, work efficiently under pressure and meet tight deadlines.
- A positive attitude and strong teamwork and interpersonal skills.
- Line management experience.
- Ability to mentor and develop junior team members.
- Salary: £76,000.00 – £ per annum (depending on experience).
- 30 days holiday plus bank holidays; increases to 31 days after 5 years of service, with option to purchase up to 5 contractual days per year.
