Senior Counsel – Products and Platforms (Technology and Managed Services)

Overview: As a Senior Counsel for Products & Platforms on the GCO Technology and Managed Services team, you will provide advice, counsel, and legal support in respect of the provision of technology products and platforms to EY clients. Your focus will include drafting, updating, and negotiating the legal terms and conditions of client‑facing software licenses and software‑as‑a‑service (SaaS) agreements, artificial intelligence, big data, analytics, cloud computing, and more.

You will also provide internal legal advice and support to various EY technology and product teams from ideation, innovation, and go‑to‑market.

You will be part of EY’s Technology and Managed Services legal group, working closely with other GCO groups in the United States and other jurisdictions. The work is complex, often urgent, and high in volume, requiring experience in a supplier‑side technology transactional legal role. The role demands a background in SaaS, current market knowledge of emerging technologies, and superior ability to manage multiple competing priorities in compressed time frames and regularly interact with senior members of the organization.

Key Responsibilities:

  • Draft and negotiate client‑facing product and platform agreements, advising on contractual strategy and risk while staying updated on relevant legal developments.
  • Collaborate closely with other US GCO members and local counsel in EY member firms.
  • Work with intellectual property counsel and procurement counsel on product and platform development and commercialization.
  • Coordinate with cross‑functional business and internal support teams (Data Privacy, Information Security, Independence, Quality, and Tax) as necessary.
  • Understand existing EY policies and help enhance policies and guidance relevant to technology products and platforms.
  • Advise internal product teams in the development of new products and platforms.
  • Gain a working understanding of the full range of tools, products, and platforms to provide effective product counsel.
  • Manage workflow in a highly dynamic environment, remaining responsive, reliable, communicative, and accountable to team leadership and GCO members.
  • Provide pragmatic legal advice to internal product teams and business stakeholders in cross‑functional settings.
  • Build relationships and work seamlessly with other GCO members and Legal Practice Groups to deliver exceptional legal service to internal stakeholders.
  • Develop and deliver training on product and platform agreements, knowledge sharing, and best practices across the legal network and business.
  • Continuously learn, contribute, and innovate in a dynamic space.

To qualify, candidates must have:

  • 7+ years of relevant technology‑related transactional experience in a client‑facing capacity, including drafting and negotiation of product and platform agreements.
  • A strong background in supporting SaaS, software licenses, emerging technologies, and a variety of go‑to‑market delivery models.
  • Experience developing contracting templates, playbooks, and standards.
  • Adept at leveraging legal and other collaboration tools and technology to optimize teaming.
  • Experience in data privacy, data security, licensing, and intellectual property law.
  • Experience with cross‑border contracting (including local country agreements and cross‑border data transfer).
  • Ability to understand, assess, and negotiate terms for current and new technologies (including cloud and AI) and explain related legal and business risks pragmatically.
  • Excellent communication skills, both oral and written.
  • Excellent negotiation and interpersonal skills.
  • High degree of cultural and emotional intelligence, and demonstrated aptitude for resilience, flexibility, and ability to adapt to changing circumstances and dynamics.
