About Enterprise Energy

Enterprise Energy is a Minneapolis-based clean energy developer focused on community solar, distributed energy storage, and other emerging energy infrastructure. We develop projects from site origination through financing, construction, and long-term operations, with an emphasis on expanding access to affordable clean energy and creating lasting value for communities.

As our portfolio grows across markets, we are seeking an experienced transaction manager for the financing and execution of projects from initial term sheet through closing.

The Role

The Vice President / Director of Transactions will be instrumental in Enterprise Energy’s financing and M&A activities. This person will assist in structuring and negotiating financing proposals, coordinate internal and external deal teams, and have ownership of transactions through legal documentation, lender approvals, and funding.

The ideal candidate combines legal and documentation fluency, commercial judgment, and practical renewable energy transaction experience. This is not primarily a financial modeling role or an in-house counsel position. It is a highly visible, execution-focused role for someone who can understand legal structures of a transaction, identify issues early, keep multiple parties aligned, and drive complicated closings to completion.

Key Responsibilities
Financing Strategy and Term Sheets

Work with the CEO, CFO, and development team to develop financing strategies for solar, battery storage, and other energy projects.

Assist in the review and negotiation of term sheets, commitment letters, indications of interest, and financing proposals.

Compare proposals based on pricing, advance rates, required equity, covenants, recourse, collateral, reserves, distributions, control rights, and execution risk.

Help structure construction debt, tax credit bridge facilities, permanent debt, sponsor equity, preferred equity, development capital, and portfolio-level facilities.

Identify commercial and legal issues that could affect financeability or transaction timing.

Serve as an internal quarterback for project financings and other major transactions from signed term sheet through closing and funding.

Develop and maintain transaction timelines, responsibility matrices, closing checklists, and critical-path analyses.

Manage diligence requests and coordinate the preparation and delivery of organizational, real estate, interconnection, permitting, offtake, construction, technical, insurance, and financial materials.

Review draft financing and project documents, consolidate internal comments, and coordinate negotiations with outside counsel.

Track conditions precedent and deliverables required for initial closing, subsequent draws, conversion to term financing, and other funding milestones.

Anticipate closing risks, elevate material issues promptly, and recommend practical solutions.

Documentation and Risk Management

Ensure consistency among commercial agreements, financial models, approved investment terms, and final legal documentation.

Work with outside counsel to confirm entity formation, authority, ownership, collateral, and required third-party consents.

Translate complex legal and financing issues into concise, decision-ready recommendations for senior leadership.

Build repeatable transaction processes, templates, and internal controls as the company’s financing volume grows.

Portfolio and Cross-Functional Support

Maintain visibility into the financing readiness of the development portfolio.

Work with project development and engineering teams to establish clear financeability standards and diligence requirements.

Support project acquisitions, dispositions, joint ventures, and portfolio sales when needed.

Help manage relationships with existing and prospective capital partners.

Support executive and investment-committee materials, including transaction summaries, risk analyses, and recommendations.

Assist with post-closing obligations, lender reporting, amendments, waivers, and consent processes where appropriate.

Qualifications

3-5+ years of relevant legal experience in project finance, renewable energy transactions, or infrastructure finance.

Juris Doctor strongly preferred; active law license is helpful but not required.

Meaningful experience with renewable energy or infrastructure projects, preferably including distributed solar, community solar, battery storage, or related assets.

Significant exposure to term sheets and complex financing transactions through closing.

Strong understanding of project finance structures, special-purpose entities, secured lending, collateral packages, construction financing, and long-term asset financing.
