Corporate Counsel of Compliance & Risk Management will report to the Associate General Counsel (AGC) and has primary responsibility for all legal matters relating to legal compliance and risk management.
Position SummaryCorporate Counsel of Compliance & Risk Management will report to the Associate General Counsel (AGC) and has primary responsibility for all legal matters relating to legal compliance and risk management.
Essential Functions- Advises company on various compliance matters, including adherence to various laws and company policies.
- Develop compliance policies, procedures, processes, and systems.
- Conduct compliance risk assessments and oversee compliance hotline monitoring.
- Conduct internal investigations and prepare internal investigation reports.
- Conduct various legal audits.
- Assist with business partner code of conduct compliance matters.
- Assist with governmental affairs compliance matters.
- Conduct legal training to educate Team Members on applicable laws.
- Prepare annual compliance report.
- Oversee company’s e‑discovery system.
- Track and report any compliance, risk management, or legal developments in laws that may affect company.
- Advise company on legal risk management matters, including mitigation of legal risk, and procurement of insurance.
- Assist company with crisis management plans.
- Coordinates with other Legal & Compliance Team Members to accomplish departmental objectives.
- Always display exemplary ethical behavior, including: (1) being free of undue influence and conflicts of interest; (2) strictly complying with HMMA policies and procedures; (3) being honest, transparent, and accountable; (4) report all known illegal or unethical behavior; and (5) protecting confidential information.
- Administer, coordinate, and comply with all Business Management System (BMS), Environmental Management System (EMS), and Safety Management System (SMS) requirements.
- Perform all other duties as assigned by the Associate General Counsel or General Counsel.
Juris Doctor Degree from an ABA-accredited Law School required
Related Experience6+ years of job-related experience preferred
Training / Certification- Member in Good Standing of the Alabama State Bar (Attorney or Authorized House Counsel)
- Certified Compliance & Ethics Professional Certificate preferred
- MS Word
- MS Excel
- MS Power Point
- Lexis Nexis / Westlaw
- Excellent verbal and written skills
Position may require occasional travel (domestic or foreign). Flexibility in working hours to include weekends, holidays, and off shift. Position may require on‑call duty or overtime due to overall responsibility.
