VP - Tech Services

TH Global Capital (TH) is a global boutique investment bank dedicated to delivering world class M&A and capital raising advisory services exclusively to tech services, software, consulting, and business process management companies. The firm serves mid-market companies and institutional investors worldwide from its offices in New York, California, London, Paris, and India.

• Must have over 7 years of M&A experience, preferably with tech services sector knowledge and strong buyer relationships across the US tech services landscape (strategic acquirers and sponsors)
• Strong (relevant) deal sheet and with a track record of deals across Tech/IT Services
• Ability to originate and lead transaction execution on 4/5 deals at a time with a focus on sell side mandates in the US market
• Ability to manage multiple deal teams, and transactions end-to-end including the preparation of Information Memorandums and financial models, participate in management/buyer meetings, negotiate offers, manage the due diligence and transaction documentation process. Adopt and improve TH processes and best practices.
• Strong relationships with PE/ VC funds and fundraising experience would be an asset. This would help with TH expanding and building a tech services and fundraising practice
• FINRA Series 79 and Series 63 registration, or the ability to obtain both within an agreed period following the start date

• Responsible to execute transactions end to end including the preparation of Pitches, Information Memorandums and Financial Models
• Completing target and acquirer screening
• Participate in management/buyer meetings, handle Q&As and negotiate offers
• Assistance in drafting and evaluating various legal documents like NDAs, etc.,
• Facilitation of buyer and seller interactions (organizing road shows, conference calls, etc.,)
• Manage the due diligence and transaction documentation process

• Strong communication skills & understanding of corporate finance.
• Proficiency in financial modeling & valuation techniques
• Experience with preparation of Information Memorandums
• Ability to multi-task and execute multiple mandates with minimal supervision.
• Ability to negotiate offers, deal structures, transaction documents (and key issues) and all elements of a deal consideration in an M&A and Fundraising process.
