Responsibilities- Contract Management & Negotiation
- Independently draft, review, and negotiate a wide range of commercial documents, including supplier contracts, membership agreements, intellectual property, licensing, consulting arrangements, and custom pricing agreements
- Develop and maintain contract templates
- Provide legal guidance on contract interpretation and related issues impacting group purchasing operations
- Compliance & Risk Management
- Advise on compliance with applicable laws and regulations, including Anti-Kickback statutes and GPO Safe Harbor requirements
- Assist in drafting and implementing policies related to contracting processes, ethics, and compliance
- Conduct training and presentations for internal stakeholders on legal and compliance matters
- Strategic Legal Support
- Serve as a trusted advisor to all internal departments, offering guidance on regulatory issues and complex procurement arrangements
- Support special projects and strategic initiatives as assigned by the General Counsel
- Education & Licensing
- J.D. from an ABA-accredited, nationally recognized law school; strong academic credentials required
- Licensed to practice law in at least one U.S. jurisdiction
- Experience & Skills
- 5+ years of legal experience, ideally at a large law firm; additional in-house experience a plus
- M&A experience strongly preferred
- Proven ability to manage a high volume of complex legal projects and competing priorities.
- Expertise in drafting and negotiating commercial, procurement, and supply chain agreements
- Understanding of group purchasing operations preferred
- Exceptional communication and interpersonal skills; ability to work collaboratively with senior management and external parties
- Highly developed analytical and problem-solving skills; self-starter with sound judgment under pressure
