OpportunityAs an Assistant General Counsel for Technology and Managed Services, you will be responsible for providing advice, counsel, and legal support in respect of provision of managed services and other technology services and products to EY clients. Your focus will include drafting, updating and negotiating complex, multi‑year managed services, outsourcing, systems implementation, application development & maintenance, software licenses, software‑as‑a‑service agreements, artificial intelligence, big data, analytics, cloud computing, and other technology agreements.
YourKey Responsibilities
- Drafting, updating and negotiating client‑facing Technology & Managed Services Agreements, including advising on contractual strategy and risk.
- Advising on key legal risks associated with the technology underpinning Managed Services Agreements.
- Collaborating closely with other members of US GCO as well as local counsel in other EY member firms.
- Coordinating legal resources for managed services projects.
- Supporting coordination with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as necessary for Technology & Managed Services Agreements.
- Ensuring contractual documentation protects EY interests.
- Understanding existing EY policies and developing/enhancing policies and guidance relevant to managed services.
- Managing workflow in a dynamic environment, remaining responsive, reliable, communicative, and accountable to leadership.
- Building relationships and teaming seamlessly with other members of GCO to deliver exceptional service to clients.
- Developing and delivering training on Technology & Managed Services Agreements, knowledge sharing and best practice across the legal network and business.
- 8+ years of relevant complex services and technology‑related transactional experience, including drafting and leading negotiation of Technology & Managed Services Agreements.
- Experience negotiating with client’s internal counsel, outside law firms, and procurement.
- Experience developing contracting templates, playbooks and standards.
- Experience in data privacy, intellectual property law and technology provision within managed services agreements.
- Experience with cross‑border contracting (including employee matters and data transfer).
- Ability to understand, assess, and negotiate terms for current and new technologies (including cloud and AI) and explain related legal and business risks practically.
- Excellent oral and written communication skills.
- Excellent negotiation and interpersonal skills.
- High cultural and emotional intelligence, resilience, flexibility, and adaptability.
- Ability to work independently and team effectively across functions and geographies.
- Ability to articulate complex legal and contractual principles and balance risk from both legal and commercial perspectives.
- Highly responsive, able to manage high workload volumes and competing priorities.
- Solution‑oriented with a focus on exceptional client service.
- Managed services counsel experience in a technology or consulting organization.
- Bachelor’s degree from an accredited 4‑year college.
- Juris Doctor from an accredited law school.
- Membership in a State Bar as an attorney qualified to practice law.
- Good standing with the applicable State Bar and current on continuing legal education requirements.
