As Counsel for Technology and Managed Services, you will be responsible for providing advice, counsel, and legal support in respect of provision of managed services and other technology services and products to EY clients, with a particular focus on advising, drafting, updating and negotiating the legal terms and conditions of client‑facing complex, multi‑year managed services, outsourcing, systems implementation, application development & maintenance, software licenses and software‑as‑a‑service agreements, artificial intelligence, big data, analytics, cloud computing, as well as providing legal advice and support to various other EY technology and product teams (“Technology & Managed Services Agreements”).

Key Responsibilities
  • Drafting, updating, and negotiating client‑facing Technology & Managed Services Agreements, including advising on contractual strategy and risk and keeping up to date with relevant legal developments.
  • Advising on key legal risks associated with the technology underpinning Managed Services Agreements.
  • Collaborating closely with other members of the US GCO as well as local counsel in other EY member firms.
  • Coordinating legal resources on managed services projects.
  • Supporting coordination with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as necessary for Technology & Managed Services Agreements.
  • Advising on the accuracy and sufficiency of contractual documentation to effectively protect EY interests.
  • Understanding existing EY policies and developing/enhancing policies and guidance relevant to managed services and other technology services and products.
  • Managing workflow in a highly dynamic environment and remaining highly responsive, reliable, communicative, and accountable to team leadership and other members of the GCO.
  • Building relationships and teaming seamlessly with other members of GCO and Legal Practice Groups to deliver exceptional service to clients of GCO.
  • Developing and delivering training on Technology & Managed Services Agreements, knowledge sharing, and best practice across the legal network and business.
To qualify, candidates must have
  • 4+ years of relevant complex services and technology‑related transactional experience in a client‑facing capacity, including drafting and negotiation of Technology & Managed Services Agreements.
  • Experience developing contracting templates, playbooks, and standards.
  • Experience in data privacy, intellectual property law, and the use and provision of technology in the context of Technology & Managed Services Agreements.
  • Experience with cross‑border contracting.
  • Ability to understand, assess, and negotiate terms for current and new technologies and explain the related legal and business risks in a practical manner.
  • Excellent communication, negotiation, interpersonal, and cultural intelligence skills.
  • Ability to work independently and effectively with colleagues in other functions and geographic locations.
  • High degree of resilience, flexibility, and ability to adapt to changing circumstances.
  • Highly responsive with the ability to manage high workload volumes and competing priorities efficiently.
  • Solution oriented with focus on exceptional client service.
  • Experience in a managed services counsel role in a technology or consulting organization with experience leading negotiations.
  • Academic and professional qualifications: bachelor’s degree, Juris Doctor, membership in a State Bar, and good standing with required continuing legal education.
