Asset Management – Special Situations Private Credit Legal Consultant – Vice President
Join JPMorgan Chase Asset Management’s Global Special Situations Group (GSS Group) as a Vice President Legal Consultant. This role supports cross‑border private credit transactions, fund matters, and portfolio management workflows in New York.
Job SummaryWork closely with investment professionals and the Head Legal Analyst to provide legal support across New York and London, collaborating with internal legal, compliance, and regulatory teams.
Job Responsibilities- Draft and execute transaction documents using GSS templates and precedents, supporting NDAs, engagement letters, commitment papers, intercreditor agreements, amendments, and ancillary documentation.
- Lead first‑line negotiations on documentation, escalating to internal approvers and delivering commercial judgment and stakeholder management.
- Conduct targeted legal research across jurisdictions and maintain awareness of evolving private credit developments.
- Partner with CIOs, analysts, operations/COO, and internal Legal & Compliance on transaction workflows, closing checklists, conditions precedent/subsequent, post‑closing portfolio updates, and fund‑level legal, regulatory, governance tasks.
- Manage external counsel instruction, benchmarking, and review of advice for risk‑aligned implementation.
- Maintain accurate document and precedent repositories, track matters, capture knowledge, and implement process improvements and automation opportunities.
- 2+ years of legal experience with a strong academic background; U.S. law degree preferred.
- Demonstrated interest in private credit, special situations, restructuring, and financial markets.
- Excellent drafting, issue spotting, problem solving skills with meticulous attention to detail.
- Confident communicator; ability to build rapport across time zones and functions.
- Fast‑paced, concurrent matters and deadlines; high integrity and confidentiality.
- Proficient in Microsoft 365, document management systems, and legal research tools.
- Authorization to work in the United States.
- Experience in finance/restructuring/private credit at a leading law firm, in‑house, or at an asset manager.
- Paralegal experience/training is a plus.
