Asset- Lending Attorney

JURISolutions is seeking an experienced attorney to join our financial‑service industry client’s legal department supporting their asset‑based lending group. In this role, you will provide day‑to‑day legal guidance for a team that delivers highly structured asset‑based financing solutions across the U.S. and Canada, as well as to subsidiaries of U.S. entities located in Europe and Asia. You will partner closely with deal teams and internal stakeholders to support and advise on a broad range of secured credit facilities.

This position offers an opportunity to work on complex, high‑value transactions and contribute directly to the growth and risk management of a global financial institution.

• Review, draft, and negotiate a variety of lending and collateral documents, including credit agreements, collateral agreements, amendments, waivers, term sheets, proposal letters, commitment letters, and intercreditor agreements.
• Review and negotiate confidentiality agreements and non‑reliance letters.
• Maintain and update template loan documentation to align with legal, regulatory, and market developments.
• Research and provide guidance on legal issues related to secured lending, asset‑based lending structures, and related regulatory requirements.
• Collaborate with internal business, credit, and risk partners to support execution of ABL transactions.

• Juris Doctor (JD) or educational equivalent.
• Minimum of 5 years post‑JD legal experience, preferably from a law firm or in‑house legal department.
• Experience working on secured credit facilities.
• Excellent written and verbal communication skills.
• Licensed to practice law and in good standing in the state of residence.

• Experience with asset‑based lending credit facilities, including familiarity with borrowing bases and cash‑flow lending concepts.
• Knowledge of the legal and regulatory framework governing secured lending and asset‑based lending.
• Strong analytical, organizational, and negotiation skills.
