Securitized Products Group Attorney – Vice President, Assistant General Counsel

Join JPMorgan Chase & Co. as a Securitized Products Group Attorney – Vice President, Assistant General Counsel. In this role, you will support the Commercial and Investment Bank’s Securitized Products Group business in the Americas, partner with clients, and create innovative solutions for complex securitizations involving asset‑backed securities, residential mortgage‑backed securities, and commercial mortgage‑backed securities (CMBS).

Job Responsibilities
  • Advise the Securitized Products businesses on all relevant legal and regulatory matters and securities laws applicable to public and private offerings of securitizations.
  • Serve on underwriting and engagement committees.
  • Review and negotiate full range of documentation for securitizations, including underwriting, private placement, engagement, and confidentiality agreements.
  • Supervise external counsel and manage knowledge‑management and support projects for the internal legal team.
  • Collaborate with bankers, compliance partners, conflicts office, and external counsel on regulatory risks, new implementations, and new business initiatives.
Required Qualifications , Capabilities, and Skills
  • Juris Doctor (JD) or equivalent; attorney license in the jurisdiction of employment.
  • Minimum of 5 years of legal experience in capital markets or securitized products, with expertise in CMBS and preferably other asset classes.
  • Familiarity with securities counsel opinions, accounting issues, tax, ERISA, and bankruptcy laws.
  • Excellent oral and written communication, drafting, and negotiation skills.
  • Ability to learn complex financial transactions and navigate legal, business, and conflicts issues.
  • Strong client‑interacting and cross‑functional collaboration skills.
  • Proven ability to work independently and manage multiple tasks in a fast‑paced environment.
