M&A Analyst

Ethos Specialty Insurance Services LP – New York, NY

Ethos Specialty is a Bishop Street Underwriters Company and a specialty Managing General Underwriter (MGU) that partners with carriers to underwrite tailored insurance programs across North America. The M&A underwriting team provides representations & warranties (R&W) insurance to manage risk allocation in M&A transactions.

Responsibilities
  • Coordinate with external legal counsel, M&A insurance brokers, attorneys, and deal principals.
  • Collect and analyze data related to submissions, bound deals, and policies.
  • Draft invoices, expense agreements, non‑binding indication letters, and other documents requested by underwriters.
  • Review underwriting submissions and files, summing key points for discussion with the underwriting team.
  • Assist in the underwriting process for R&W products for buy‑side and sell‑side clients by collaborating with brokers, advisors, and law firms.
  • Conduct preliminary reviews of Purchase‑Sale Agreements, Disclosure Schedules, and Diligence Reports to identify risks and draft non‑binding indication letters for investors and private equity firms.
  • Manage NDAs, non‑reliance letters, and access letters to obtain proprietary deal information.
  • Attend due diligence calls and transcribe accurate, comprehensive deal‑specific notes.
Competencies & Requirements
  • 1–2 years of experience in a related field (insurance, banking, accounting).
  • Bachelor’s degree required.
  • Strong understanding of financial statements.
  • Experience handling and interpreting large data sets.
  • Strong written and oral communication skills.
  • Excellent interpersonal skills and ability to collaborate with a large team.
  • Ability to adapt to a fast‑paced environment, working under short timelines and occasionally during off‑hours.
  • Detail‑oriented.
  • Ability to work independently.
  • Strong interest in M&A.
Technical Skills & Knowledge
  • Proficiency in Microsoft Office Suite (Excel, Word, Outlook, PowerPoint, Teams) and Adobe Acrobat.
