A leading law firm is seeking a Funds Associate to join its New York Investment Funds practice
. The role offers exposure to a broad range of private fund matters, including the formation, structuring, and operation of private investment funds for top‑tier asset managers.

• Advise sponsors on the formation and structuring of private investment funds across various strategies, including private equity, hedge funds, credit funds, and real estate funds.
• Draft and negotiate fund documentation such as limited partnership agreements and private placement memoranda.
• Provide counsel on regulatory and compliance matters, including Investment Advisers Act issues.
• Assist with fund closings and investor negotiations.
• Advise on fund restructurings, GP‑led transactions, and secondary matters.
• Collaborate with tax, regulatory, and transactional teams as needed.

• JD from a top‑tier law school.
• Admitted to practice in New York (or eligible for admission).
• 3–6 years of experience in investment funds/private funds at a leading law firm.
• Strong experience with private fund formation and sponsor‑side representation.
• Ability to manage multiple matters in a fast‑paced environment.
