Senior Counsel and Director, Tax Credits
Liberty Mutual Investments (LMI), the investment arm of Liberty Mutual Insurance, seeks a newly created, lead transactional attorney to oversee tax credit transactions and support the firm’s impact and sustainable investments strategy.
Responsibilities- Lead, structure, negotiate and execute acquisitions of federal tax credits (direct purchases and partnership structures such as T‑Flips and T‑Holds).
- Advise and secure insurance policy coverage for federal tax credit investments, ensuring risk mitigation and transaction security.
- Oversee all phases of state tax credit transactions, including Low‑Income Housing Tax Credits and certified state credits, from due diligence through closing and post‑closing compliance.
- Build & maintain effective relationships with internal partners (tax, legal, risk, investments, senior management) and external partners (outside counsel, transaction parties).
- Monitor legal & regulatory developments affecting the transactions and ensure compliance.
- Facilitate consensus among diverse stakeholders, leading negotiations on complex, ambiguous matters to pragmatic outcomes.
- Identify and pursue co‑investment and partnership opportunities that advance LMI’s economic growth, social impact, and risk‑adjusted returns.
- JD with admission in good standing to a U.S. jurisdiction; significant experience at a leading law firm or corporate counsel.
- Extensive knowledge of federal tax credit transaction structuring and negotiation, including partnership structures and insurance policy coverage.
- Experience managing state tax credit (LIHTC, certified credits) transactions from due diligence to close and compliance.
- Demonstrated stakeholder management—ability to navigate complexity, build consensus, and sustain relationships with regulators, partners, and senior leadership.
- Self‑starter with a bias for action, ownership, and the drive to influence company objectives.
- Strong business partnership skills: balance risk with growth, exercise sound judgment, and move with business pace.
- Excellent interpersonal skills and a high‑credibility presence to inspire performance and commitment.
