Overview

A globally recognized law firm is seeking a Senior Associate to join its Capital Markets (Securities) team in New York. This is a high-profile opportunity to represent top-tier issuers, underwriters, and financial institutions in complex equity offerings, IPOs, and SPAC/deSPAC transactions. You’ll work with a collaborative, cross-border team advising on U.S. and global securities matters, public company reporting, and corporate governance for some of the world’s most dynamic companies.

Key Responsibilities
  • Lead and manage sophisticated capital markets transactions (including IPOs, follow-ons, deSPACs, and private placements)
  • Draft and review disclosure documents (e.g., S-1s, 10-Ks, 8-Ks, proxy statements)
  • Advise public companies on SEC and exchange compliance, shareholder meetings, and governance
  • Coordinate closely with underwriters, auditors, local counsel, and internal deal teams
  • Train and mentor junior associates
  • Work on both U.S. and cross-border transactions in diverse industries
Ideal Candidate
  • 4+ years of capital markets experience in a top-tier international law firm
  • Substantial exposure to SPAC/deSPAC transactions
  • Strong track record advising public companies on disclosure, compliance, and governance
  • Experience with SEC filings, shareholder meeting prep, and stock exchange matters
  • Admitted to the New York Bar
  • Collaborative, proactive, and confident managing complex, multi-party transactions
