We are representing a prestigious law firm seeking an experienced Associate or Of Counsel to join its New York office, specializing in Private Equity and M&A transactions. The ideal candidate will have at least three years of experience advising private equity firms and their portfolio companies in complex transactions, including mergers and acquisitions, leveraged buyouts, and equity investments. This is an exceptional opportunity to work with a collaborative, dynamic team while gaining exposure to high‑profile private equity matters.

• Provide strategic legal advice to private equity clients, including portfolio companies and investors, on M&A, leveraged buyouts, and general corporate matters.
• Draft and negotiate purchase and merger agreements, LLC and LP agreements, and other transaction documents.
• Advise on management equity arrangements, incentive equity terms, and co‑investment arrangements.
• Navigate the complexities of private equity fund documentation and structures.
• Participate in business development efforts and collaborate with colleagues across multiple offices and practice areas.
• Build and maintain strong client relationships, providing tailored legal solutions in private equity transactions.

• At least 3 years of experience working on private equity and M&A transactions.
• Strong experience drafting and negotiating complex transaction documents such as purchase agreements, LLC/LP agreements, and shareholder agreements.
• Familiarity with private equity fund structures, management equity, and co‑investment terms is highly desirable.
• JD degree from an ABA‑accredited law school with excellent academic credentials.
• Admission to the New York Bar (or eligibility to apply for admission).
• Strong communication and writing skills with an ability to explain complex legal concepts clearly.
