Fund Formation Attorney

Cooley LLP has an opportunity available for an attorney with 3 or more years of private investment fund formation experience. Candidates must have experience representing sponsors and investors in private investment funds and will have completed fund formation transactions, sponsor-level transactions (i.e., involving the general partner and management company entities) and secondary transactions involving limited partner and/or portfolio company interests. Ideal candidates will have worked in the corporate department of a national or international law firm, and will have a high level of academic achievement from a nationally recognized law school.

The expected annual pay range for this position is $260,000+. Please note that final offer amount will be dependent on geographic location, applicable experience and skillset of the candidate.

• Represent sponsors and investors in private investment fund formation transactions.
• Handle fund formation transactions, sponsor-level transactions, and secondary transactions involving limited partner and/or portfolio company interests.
• Collaborate within the corporate department of a national or international law firm and contribute to related matters as needed.

• 3+ years of private investment fund formation experience.
• Experience representing sponsors and investors in private investment funds.
• Completed fund formation transactions and sponsor-level transactions, with exposure to secondary transactions involving LP interests.
• Prior work in the corporate department of a national or international law firm.
• High academic achievement from a nationally recognized law school.
