Corporate Associate (EC/VC + M&A) [Junior / Mid-level] @ Tech-Focused Firm Overview

Whistler Partners is seeking talented junior and mid-level associates (2–5 years) to join a nationally recognized practice advising high-growth technology companies and leading venture capital investors on sophisticated emerging companies, venture financings, and M&A transactions.

This is an exciting opportunity to join a collaborative, tech-focused, market-leading team that represents startups, venture funds, and innovative companies across the full lifecycle—from formation through late-stage financings, strategic transactions, and exits. The group is consistently ranked among the top in the country for EC/VC and Technology M&A and is known for giving associates meaningful client ownership early in their careers within a supportive, entrepreneurial environment.

• Structure, draft, and negotiate documentation for venture capital financings, equity rounds, SAFEs, secondaries, and other private offerings.
• Support and lead components of M&A transactions, including term sheets, due diligence, negotiation of definitive agreements, and closing processes.
• Manage cap tables, capitalization analyses, stock option matters, and investor rights structures for emerging and growth-stage companies.
• Serve as day-to-day outside counsel on general corporate matters, providing practical, business-oriented advice to founders, executives, and investors.
• Collaborate with teams across tech transactions, fund formation, IP/soft IP, and capital markets to support complex, cross-disciplinary client needs.
• Assist with product development and best practices for rapidly scaling companies in the technology and venture ecosystem.
• Monitor market and legal developments affecting emerging companies, venture capital, and M&A deal terms.
• Contribute to a collegial team culture and manage multiple matters in a fast-paced, high-growth environment.

• Experience in IP/tech transactions, venture capital, M&A, or general corporate, OR strong credentials with interest in retooling into the EC/VC practice.
• Excellent drafting and organizational skills.
• Ability to learn quickly and thrive in a dynamic emerging companies environment.

• Experience in M&A and cap table/capitalization work required.
• Strong negotiation, drafting, and diligence skills.
• Demonstrated ability to run work streams and manage client relationships with increasing independence.

• Strong understanding or interest in emerging companies, venture financings, and technology-driven transactions.
• Exceptional attention to detail, client-service focus, and ability to work both independently and collaboratively.
• Strong academic credentials and sound professional judgment.
