• Advise public and private companies on equity and debt capital markets transactions, including registered and unregistered offerings.
• Counsel clients on securities law compliance, disclosure obligations, and corporate governance matters.
• Draft and review offering documents, SEC filings, and related transactional agreements.
• Support public M&A transactions, including due diligence, regulatory filings, and closing processes.
• Collaborate with cross-practice teams to manage complex transactions efficiently.
• Maintain current knowledge of securities regulations, market trends, and governance best practices.
• Develop and manage client relationships while providing practical, business-oriented legal advice.
• Mentor junior associates and contribute to team development and firm initiatives.

A successful candidate should have:

• A Juris Doctor (JD) degree from an accredited law school.
• Admission to the New York State Bar or eligibility to waive in.
• Proven experience in public company M&A and capital markets transactions.
• Excellent drafting, negotiation, and communication skills.
• Ability to manage multiple projects and deadlines effectively.
• A commitment to delivering exceptional client service.

• Competitive base salary estimated at $310,000 to $435,000 annually.
