Job Description
The Assistant General Counsel – M&A’s primary duties will be to support mergers, acquisitions, strategic investments and joint ventures across the Property & Casualty (P&C) insurance space. This role is ideal for a skilled transactional attorney who brings not only strong M&A experience but also an understanding of the unique regulatory and business frameworks of the insurance industry.
Specific ResponsibilitiesProvide legal support for M&A and strategic investment activity, including structuring, due diligence, negotiation, documentation, and closing of insurance carrier, agency, Insurtech and other transactions.
Draft and negotiate a wide range of transaction documents, including confidentiality agreements, letters of intent, asset and stock purchase agreements and reinsurance agreements.
Lead and coordinate legal due diligence, with particular attention to regulatory issues, producer licensing, reinsurance, legacy liabilities, and data/privacy risks.
Partner with regulatory and compliance teams to assess and address regulatory approvals, Form A filings and post-transaction compliance.
Collaborate cross-functionally with business leads, finance, corporate development, and actuarial teams throughout all stages of the transaction lifecycle.
Support integration planning and execution from a legal perspective, including contract assignments, employee transition and internal governance.
Manage and direct outside counsel and specialist advisors as needed.
Stay informed of market trends, competitive transactions, and changes in state insurance regulatory frameworks impacting M&A.
J.D. from an accredited law school; licensed and in good standing in at least one U.S. jurisdiction.
4+ years of legal experience focused on M&A transactions, including experience with insurance-related deals (either in-house at an insurer/agency or at a top law firm).
Strong working knowledge of P&C insurance industry structures (e.g., carriers, MGAs, fronting arrangements, reinsurance, agency networks).
Experience working with or advising on insurance regulatory filings and approvals in M&A contexts.
Excellent drafting, negotiation, and analytical skills.
Strong project management ability and comfort handling multiple work streams simultaneously.
Effective communicator with the ability to influence stakeholders and simplify complex legal matters.
