Lead Counsel – Capital Markets & Treasury

The Role

You will serve as a key legal adviser to the Treasury function, taking ownership of matters including:

• Debt and equity offerings
• Rule 144A and other private capital-markets transactions
• Credit facilities and letters of credit
• Liquidity and capital solutions
• Funding agreement-backed products
• Intercompany lending arrangements
• Repurchase and reverse-repurchase transactions
• Derivatives and other treasury matters
• Corporate governance and securities-law disclosure requirements

You will draft and negotiate offering documents, purchase agreements, term sheets, engagement letters, legal opinions and related transaction documentation. And, coordinate cross-functional stakeholders and manage external counsel where appropriate.

• JD / US Qualified Attorney
• 5-8+ years of legal experience focused on capital markets, corporate finance or treasury matters
• Training from a leading law firm, financial institution, insurer or reinsurer
• Strong debt-capital-markets and securities transaction experience
• Experience drafting and negotiating complex financing documentation
• The ability to independently manage transactions from structuring through closing
• Commercial judgment and confidence advising senior business stakeholders
• A hands-on, collaborative approach and the ability to manage competing priorities
• Experience with insurance-capital solutions, funding agreement-backed products, surplus notes, repurchase transactions or derivatives would be advantageous but is not essential.
