The SFM legal and compliance team is a seasoned group of attorneys, compliance officers, paralegals and administrative support professionals. Our goal is to provide timely, business‑oriented legal solutions that advance SFM’s business objectives, while protecting its legal and financial interests and reputation. We support all aspects of SFM’s business including providing advice and counsel to senior management, negotiating complex investment transactions, drafting and reviewing contracts, managing disputes and litigation, and ensuring compliance with applicable laws and regulations.

SFM is seeking an experienced, business‑minded attorney to join its team as Legal Counsel in the New York office. The Legal Counsel will work on a broad range of legal matters under the supervision an Assistant General Counsel and the General Counsel, with a primary focus on the structuring and execution of the firm’s investments.

Reports to: Assistant General Counsel

• Acting as legal advisor on a broad array of complex investment‑related transactions, including private credit, private equity, convertible bonds, structured credit, distressed and special situations credit, and/or venture capital. The Counsel will be responsible for preparing and negotiating, among other transaction documents:
  • purchase and sale agreements and ancillary documents (e.g., transfer agreements)
  • credit agreements
  • security and guarantee agreements
  • indentures
  • subscription agreements
  • investment management agreements
  • side letters
  • confidentiality and non‑disclosure agreements
  • third‑party contracts.
• Preparing and reviewing agreements related to investments in external hedge funds and private equity funds.
• Managing outside counsel and effectively intermediating between outside counsel and internal clients.
• Remaining abreast of industry practices and relevant legislative proposals and enactments.
• Generally, providing legal and investment transaction counsel and guidance to the SFM business and investment teams.
• Ad‑hoc specialized legal projects, as needed.
