Corporate Development

Prudential’s Corporate Mergers & Acquisitions Group leads acquisition and divestiture activities across all business lines. The group has closed over 120 transactions with a combined value exceeding $35 billion and sources new opportunities and performs strategic analysis. It reports directly to the Chief Financial Officer.

The Position

The role covers all M&A and in‑force reinsurance block transactions across all domestic and international entities. Focus is on actuarial aspects of transactions—including deal modelling, due diligence, and deal management—and works in a highly visible, cross‑functional capacity. The position reports to the VP and Actuary, Head of M&A Actuarial.

Work arrangement is hybrid; on‑site presence is required on a recurring basis as determined by the business.

Key Responsibilities
  • Deal Management
    • Lead transaction and actuarial due diligence, including reserve adequacy, product and pricing evaluations, reinsurance programs, and tax assessments.
    • Manage actuarial work streams and coordinate with broader deal teams.
    • Influence and motivate stakeholders to achieve Prudential’s objectives while maintaining relationships.
  • Modelling
    • Provide subject‑matter expertise on Embedded Value and Actuarial Appraisal reports.
    • Own day‑to‑day actuarial deal modelling, typically Excel based.
    • Develop valuation methods that feed into actuarial valuations.
    • Oversee work performed by external modelling consultants.
    • Engage with internal business unit actuarial, finance, and tax teams to validate models.
  • Communication
    • Collaborate with teams across Prudential and external partners.
    • Communicate key issues to fellow actuaries and stakeholders.
    • Lead internal communication materials.
  • Produce high‑quality work under time pressure.
  • Occasional domestic and international travel.
Qualifications
  • Bachelor’s Degree required.
  • Fully qualified actuary with FSA or related designation and 10+ years of experience.
  • Experience in M&A transactions, reinsurance, or new initiative modelling at a consulting firm, insurance company, or investment bank.
  • Strong leadership and stakeholder management skills.
  • Hands‑on financial modelling, especially Excel.
  • Excellent quantitative, problem‑solving, and analytical skills under pressure.
  • Deep knowledge of US Statutory, US GAAP, Solvency II, IFRS, and offshore accounting methods.
  • Valuation methods for a broad range of insurance products.
  • Proven creative, innovative, and execution‑focused track record.
  • Strong written and verbal communication.
