Director — Capital Markets and Financing

Compensation: $200,000 annual base salary + 35% target annual bonus.

Provenance Partners is an industrial investment and partnership firm with an Advisory practice focused on strategic growth, transactions, and capital readiness. Our interests include aerospace, defense, advanced manufacturing, and enabling technologies. We work with business owners, management teams, and capital partners to evaluate opportunities and turn decisions into executable plans.

We are seeking a Director to lead financing analysis and execution for corporate, acquisition, and investment opportunities. You will assess capital needs, develop financing alternatives, and help management teams evaluate the cost, flexibility, and risks of different capital structures.

• Model capital structures, debt capacity, liquidity, debt service coverage, covenants, and refinancing exposure under base and downside cases.
• Develop financing plans for acquisitions, growth investment, and recapitalizations, including debt and equity alternatives where appropriate.
• Prepare financing materials and coordinate lender and capital provider diligence within approved mandates.
• Compare term sheets, evaluate economic and control provisions, and support negotiations alongside senior leadership and counsel.
• Manage financing timetables, conditions precedent, and closing coordination; document ongoing obligations for the operating team.

• Typically 6+ years in corporate finance, leveraged or acquisition finance, private credit, investment banking, or capital markets.
• Direct experience taking financing transactions through diligence, documentation, and closing.
• Strong modeling skills and a practical understanding of credit agreements, security packages, guarantees, and covenant headroom.
• Credibility with lenders and management teams, careful execution, and familiarity with licensing or authorization requirements relevant to the role.
