We are seeking a seasoned and highly motivated Business and Transactions Attorney to join our Omaha office and overall practice area team. The ideal candidate will demonstrate an entrepreneurial spirit, a curious and inquisitive mindset, and exceptional attention to detail. This role involves providing strategic legal counsel to clients across a broad spectrum of industries related to business matters, including risk management, contract review, governance, mergers and acquisitions, entity formation, and compliance.
Key Responsibilities- Collaborate with clients to develop tailored legal strategies aligned with their business goals and needs through risk‑based analysis and assessments.
- Research and interpret applicable laws, regulations, and industry standards to ensure client compliance.
- Draft, review, and negotiate a variety of agreements (such as contracts with customers, vendors, and other third parties), operating agreements, ownership and equity agreements, and employment agreements.
- Advise clients on a range of corporate legal matters, including entity selection and formation, corporate governance, and compliance.
- Provide strategic legal guidance during mergers, acquisitions, divestitures, and other transactions.
- Manage multiple client matters simultaneously while maintaining high‑quality service and meeting deadlines.
- Supervise paralegals, staff, and team members as required.
- Active in business development, including involvement in professional organizations.
- Other duties as assigned.
- Minimum of 5 years of relevant in‑house and/or law firm experience as a business and transactional attorney; 10 years’ experience preferred.
- Must be currently licensed in Nebraska or eligible to become licensed.
- Other state licenses (especially in states within our footprint) while not required, will be considered.
- Valid driver's license.
- Demonstrated expertise in drafting and negotiating various contracts and agreements.
- Strong entrepreneurial mindset with the ability to approach legal issues from a business perspective.
- Exceptional research, analytical, and problem‑solving skills.
- Outstanding written and verbal communication abilities.
- Proficiency in managing competing priorities and working independently.
